Terms of Sale
Last updated: 15 September 2026
These terms of sale (the “Terms”) govern the research services invoiced by L'Entité Nexus inc. under the Statisthic brand (the “Institute”) to any legal person or individual who accepts them (the “Client”). For each engagement, they are supplemented by a written service agreement setting out the subject matter, the scope, the firm price and the schedule. In case of conflict, the service agreement prevails.
1. Services
- Public opinion polling — questionnaire design, sampling, data collection, weighting, analysis and report.
- Audit, research and surveys — organisational audit, qualitative or quantitative research, programme evaluation, diagnosis and recommendations.
- Statistical analysis — processing, modelling and interpretation of data sets supplied by the Client or collected by the Institute.
- Sector analysis — sector study, comparative analysis, monitoring and trends report.
2. Quote and formation of the contract
All services are sold under a tailored written quote. No price is displayed on the site and no order can be placed there. The process is as follows:
- the Client describes its need through the contact form or by email;
- a scoping discussion defines the research question, the scope and the constraints;
- the Institute issues a written quote setting out the subject matter, the method, the deliverables, the schedule, the firm price and its period of validity (30 days unless otherwise stated);
- the contract is formed on the Client's written acceptance of the quote and on payment of the deposit.
The Institute remains free to decline a request, in particular where the research question, the method required or the purpose pursued are incompatible with its ethical obligations (article 7).
3. Prices and taxes
Prices are expressed in Canadian dollars and are stated excluding taxes. The applicable taxes (GST and QST) are added where they are payable. Exceptional external costs (translation, external panel, travel, data purchase) are announced in advance and re-invoiced at actual cost. Any service outside the scope is the subject of a written amendment before it is performed.
4. Payment terms
- No payment is requested or collected through the site. Invoicing takes place through direct contact.
- A deposit of 40% on acceptance of the quote; work begins when it is received.
- The balance is payable on delivery of the final report, net 30 days.
- For engagements lasting more than three months, staged invoicing may be agreed.
- Accepted methods: bank transfer, Interac e-Transfer or cheque.
- A compliant invoice, bearing the GST and QST numbers of L'Entité Nexus inc., is issued for each payment.
- Any late payment may lead to suspension of the work and, after formal notice, to interest at the applicable statutory rate.
5. Timelines
The timelines stated in the quote run from receipt of the deposit and from the Client's delivery of all the necessary materials. They are suspended for as long as an essential item is missing, and in the event of a delay attributable to a third party (panel provider, government body, partner). A delay gives rise to no penalty, unless the agreement stipulates otherwise.
6. Obligations of the Client
The Client undertakes to provide accurate and complete information, to designate a contact person, to respond to validation requests within the agreed timelines and to pursue no unlawful purpose. Where the Client sends data sets containing personal information, it warrants that it holds the necessary rights and consents; the Institute then acts as an agent within the meaning of Law 25, solely on the basis of the Client's written instructions.
7. Scientific independence and ethics
The Institute retains control of the method. It does not alter a result, an interpretation or a margin of error at the request of a Client, a sponsor or a third party. The following are excluded from any service:
- leading questionnaires designed to produce a result decided in advance;
- the partial release of results that would distort their meaning;
- the disclosure of identifiable individual responses, to anyone;
- any research intended to identify, locate or assess a specific person on behalf of a third party.
A Client who publishes all or part of a result undertakes to cite the Institute, the collection period, the sample size and, where applicable, the margin of error.
8. Nature of the undertaking
The Institute is bound by a best-efforts obligation, not an obligation of result. It does not guarantee that research will confirm a hypothesis, or that a result will be favourable to the Client. The conclusions rest on the data available and lawfully accessible on the date of the report.
9. Deliverables and intellectual property
The final report is assigned to the Client for its own purposes upon payment in full. The Institute retains ownership of its methods, standard questionnaires, analysis grids, scripts and models, as well as the right to reuse aggregate, anonymised data for methodological purposes. Unless an exclusivity clause is agreed and invoiced, the Institute may mention the engagement among its references, without disclosing its content.
10. Confidentiality
Confidentiality is mutual and survives the end of the engagement. Personal information processed in the course of an engagement is processed in accordance with our privacy policy and Law 25.
11. Cancellation and termination
- Before the work begins: the deposit is refunded, less the external costs already incurred and documented.
- After the work begins: the services performed remain payable in proportion to the work completed; the partial deliverables are delivered.
- Cancellation by the Institute for a reason not attributable to you: full refund of the sums paid for the work not performed.
- The Institute may terminate if the Client breaches article 6 or if the request proves to fall under article 7.
- A consumer Client retains the rights conferred on it by the Consumer Protection Act; no provision of these Terms restricts them.
12. Liability
To the extent permitted by law, the Institute's total liability under an engagement is capped at the amount of the fees actually received for that engagement. Indirect damages are excluded: loss of opportunity, loss of profit, harm to reputation, the consequences of a decision taken by the Client. This limitation does not apply in the event of gross or intentional fault.
13. Force majeure
Neither party is liable for a breach caused by an event of force majeure. If the impediment lasts more than 60 days, either party may terminate the engagement; the sums corresponding to the work not performed are then refunded.
14. Complaints
Any complaint must be sent to info-statisthic@proton.me within 30 days following delivery of the report. The Institute undertakes to reply within 15 business days and favours an amicable settlement, where appropriate through mediation.
15. Governing law
These Terms are governed by the laws applicable in Quebec and Canada. Any dispute falls within the exclusive jurisdiction of the courts of the judicial district of Montreal, subject to the mandatory rules protecting consumers.
